TERMS OF SERVICE

1. Acceptance of These Terms

These Terms of Service (“Terms”) govern your access to and use of the Reigncane Vodka website, online storefront, Reigncane Creator Program, Reigncane Video Uploader, promotional programs, communications, and any other website, application, feature, or service that links to these Terms collectively, the “Services.”

The Services are operated by BWLS under the Reigncane Vodka brand. In these Terms, “Reigncane,” “we,” “us,” and “our” refer to BWLS, Reigncane Vodka, and their applicable affiliates, representatives, and service providers.

By accessing or using the Services, placing an order, participating in a promotion, submitting content, or otherwise indicating acceptance, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not access or use the Services.

Additional policies, rules, disclosures, or agreements may apply to particular activities, including our Shipping & Returns Policy, promotional offer terms, giveaway rules, and the Reigncane Creator Program Submission & Usage Agreement. Those additional terms are incorporated into these Terms. If specific program or transaction terms conflict with these general Terms, the more specific terms will govern that program or transaction.

2. Age and Eligibility

The Services relate to alcoholic beverages and are intended only for adults who are at least 21 years old.

By accessing or using the Services, purchasing alcohol, submitting a Creator Program video, or participating in an alcohol-related promotion, you represent and warrant that:

• You are at least 21 years old.
• You have the legal capacity to enter into a binding agreement.
• Your access, purchase, receipt, possession, transportation, and use of alcoholic beverages are lawful where you reside and where the products will be delivered.
• You will not purchase alcohol for, deliver alcohol to, or permit alcohol to be consumed by anyone under the legal drinking age.
• All information you provide is complete and accurate.

We may use age-gating tools, identity checks, delivery verification, adult-signature requirements, or other measures to confirm eligibility. A delivery carrier or licensed retailer may refuse delivery when valid government-issued identification is not presented, when the recipient is under 21, when the recipient appears intoxicated, or when delivery would otherwise violate applicable law.

3. Responsible Consumption

Reigncane supports responsible consumption. Do not drink and drive. Do not consume alcohol when prohibited by law, while operating vehicles or machinery, or in a manner that may endanger yourself or others.

Information provided through the Services is for general informational, product, culinary, or entertainment purposes. It is not medical, nutritional, health, or safety advice. Statements about ingredients, calories, product characteristics, or alcohol should not be interpreted as medical claims or as assurances that consuming alcohol is safe or appropriate for any particular person.

4. Alcohol Sales and Licensed Retailers

Alcoholic beverages may be offered, sold, processed, or fulfilled by an independent licensed retailer, licensed fulfillment partner, or other legally authorized seller. The applicable licensed seller may be identified during checkout, in your order confirmation, or in related transaction materials.

Reigncane may market products, provide the storefront, transmit order information, coordinate fulfillment, or facilitate a transaction, but the licensed seller is responsible for the retail sale of alcoholic beverages where required by law.

Where permitted and disclosed in connection with an order, title to and ownership of alcoholic beverages may pass from the licensed retailer to the purchaser at the retailer’s licensed location in California. By placing an order, the purchaser may authorize the licensed retailer to arrange shipment through a common carrier on the purchaser’s behalf.

You are responsible for determining whether you may lawfully purchase, receive, possess, transport, and consume the products ordered. We and our licensed partners may refuse, cancel, limit, or modify any order when necessary to comply with licensing requirements, shipping restrictions, product limits, fraud-prevention measures, or applicable law.

5. Products, Availability, and Descriptions

We attempt to display product descriptions, images, alcohol content, ingredients, sizes, prices, availability, and other information accurately. However, product packaging, labeling, color, appearance, ingredients, vintage, formulation, availability, and specifications may change.

Images are illustrative and may not exactly represent the product received. Display settings may also affect how colors and images appear.

We do not warrant that every product description, photograph, price, promotion, or other item of content is complete, current, or error-free. We reserve the right to correct errors, update information, change or discontinue products, and cancel orders affected by inaccurate information.

6. Orders and Order Acceptance

Submitting an order is an offer to purchase. An order confirmation acknowledges that the order was received; it does not necessarily constitute final acceptance.

An order is accepted only after it has been approved by the applicable seller, payment has been authorized, legal and delivery requirements have been satisfied, and the order enters fulfillment.

We may refuse or cancel an order for reasons including:

• Product unavailability.
• Incorrect prices or product information.
• Suspected fraud, misuse, or unauthorized payment.
• Age, identity, licensing, or delivery restrictions.
• Quantity limits.
• Errors in an offer, discount, or promotion.
• Inability to deliver lawfully to the address provided.
• Violation of these Terms.

If we cancel an order after payment has been collected, the appropriate amount will generally be refunded to the original payment method, subject to processing times and any lawful deductions disclosed to you.

7. Prices, Taxes, Fees, and Payment

Prices are shown in U.S. dollars unless otherwise stated. Prices and promotions may change without notice.

You are responsible for applicable taxes, shipping charges, carrier charges, return charges, service fees, and other amounts displayed at checkout or otherwise disclosed in connection with your order.

By providing payment information, you represent that you are authorized to use the payment method and authorize the applicable seller and payment processor to charge the total amount of the transaction.

Payments may be processed by Shopify, financial institutions, card networks, digital-wallet providers, licensed retailers, or other payment-service providers. Their separate terms and privacy practices may apply.

8. Shipping and Delivery

Alcohol may be shipped only to locations where shipment and delivery are legally permitted. Availability varies by jurisdiction and may change.

Unless otherwise stated:

• We do not ship alcohol internationally.
• We do not ship alcohol to APO addresses, FPO addresses, or post-office boxes.
• An adult who is at least 21 years old must be present to receive packages containing alcohol.
• The carrier may require a valid government-issued photo ID and an adult signature.
• Packages generally will not be left unattended.
• The carrier may make multiple delivery attempts before returning the package.

Delivery estimates are estimates only. They are not guaranteed. Weather, carrier interruptions, legal restrictions, inventory, order volume, address problems, and other circumstances may delay delivery.

You are responsible for providing an accurate and deliverable shipping address and for being available to accept delivery. If an order is returned because of an inaccurate address, refusal, missed delivery attempts, inability to verify age, or another circumstance attributable to the recipient, you may be responsible for original shipping costs, return costs, reshipment costs, and other applicable charges.

Risk of loss will pass as provided by applicable law and the terms of the licensed seller and carrier.

9. Damaged, Incorrect, or Missing Products

Inspect your order promptly after delivery.

If a product arrives damaged, incorrect, or incomplete, contact us as soon as reasonably possible at Orders@reigncanevodka.com. Include your name, order number, a description of the issue, and clear photographs of the product and packaging when relevant.

Do not discard damaged products or packaging until instructed to do so. We may need photographs, carrier documentation, or other information to investigate and pursue a shipping claim.

A replacement, refund, or other resolution is subject to verification, product availability, applicable law, and the policies of the licensed seller, carrier, and payment processor.

10. Returns and Refunds

All returns require prior approval. Do not send a product back without first contacting us and receiving return instructions.

Return eligibility may depend on the type of product, condition of the product, applicable alcohol laws, health and safety considerations, and the policies of the licensed seller. Opened or used alcoholic beverages may not be returnable except when defective, damaged, or otherwise required by law.

Unless otherwise agreed or required by law, the purchaser is responsible for return shipping charges. If we provide a return label, its cost may be deducted from the refund.

Approved refunds will ordinarily be issued to the original payment method. Original shipping charges, return charges, carrier charges, and other transaction costs may be nonrefundable unless the return resulted from our error or applicable law requires otherwise.

Our current Shipping & Returns Policy provides additional information and is incorporated into these Terms.

11. Promotions, Discounts, Giveaways, and Rewards

Promotions, discounts, giveaways, rewards, free-shipping offers, and promotional codes may be subject to separate rules and eligibility requirements.

Unless the applicable offer states otherwise:

• Offers are available only for a limited time.
• Offers are subject to availability and applicable law.
• Discounts may not be combined.
• Codes may be single-use, nontransferable, and tied to a particular person, email address, product, or transaction.
• Taxes, shipping, delivery, and other fees may still apply.
• Alcohol-related rewards require age verification and lawful delivery.
• We may correct, cancel, suspend, or withdraw an offer affected by fraud, abuse, technical error, or legal restriction.

No purchase is necessary for a sweepstakes or giveaway when the applicable rules state that no purchase is required. Each promotion is governed by its official rules.

12. Reigncane Creator Program

The Reigncane Creator Program allows eligible adults to submit original video reviews for evaluation and possible use by Reigncane.

Participation is subject to these Terms, the requirements displayed on the Creator Program page, the applicable promotional terms, and the Submission & Usage Agreement presented during submission.

By participating, you represent and warrant that:

• You are at least 21 years old.
• The submission reflects your honest and genuine opinions.
• You were not required to provide a positive review.
• The submission is original or properly licensed.
• You own or control the rights necessary to submit the content and grant the rights described in the Submission & Usage Agreement.
• Each identifiable person appearing in the content is at least 21 and has authorized the submission and permitted uses.
• The submission does not contain copyrighted music, third-party footage, watermarks, trademarks, personal information, or other material you are not authorized to use.
• The submission does not depict unsafe alcohol consumption, obvious intoxication, drinking games, driving, illegal activity, minors, or unlawful or misleading health, performance, or safety claims.

Submission does not guarantee approval, publication, use, or receipt of a reward. Reigncane may approve or decline submissions based on eligibility, technical quality, authenticity, rights, content standards, brand-safety considerations, and applicable law.

Unless otherwise stated on the program page:

• Participation is limited to one submission and one promotional reward per person or email address.
• Reward codes are private, single-use, nontransferable, and may expire.
• Rewards are subject to product availability, age verification, lawful shipping, taxes, fees, and other restrictions.
• The Creator Program may be modified, paused, suspended, or discontinued at any time.

If a submission is approved, the rights granted in the Submission & Usage Agreement control Reigncane’s use of the video, audio, name, image, likeness, voice, and related content. Those rights may include a worldwide, perpetual, irrevocable, royalty-free, transferable, and sublicensable right to reproduce, edit, adapt, caption, publish, distribute, display, perform, advertise, and create derivative works from the approved submission.

Reigncane may edit an approved submission for format, length, captions, sound, placement, or advertising requirements, provided that the resulting use does not materially misrepresent the creator’s stated opinion.

Reigncane may add a disclosure explaining that the creator received or was eligible to receive a promotional benefit. Creators are responsible for complying with any disclosure obligations that apply when they separately publish or discuss the promotion.

A video that is not approved will not be used by Reigncane for advertising or promotional purposes, although related submission records may be retained as reasonably necessary for administration, security, auditing, dispute resolution, and legal compliance.

13. Reigncane Video Uploader and Google Services

The Reigncane Video Uploader is used to receive, store, organize, and review Creator Program submissions.

The application may use Google Drive and Google Sheets through an account connected by an authorized Reigncane administrator. Customers and creators are not required to connect their personal Google accounts merely to upload a submission.

Only authorized Reigncane personnel may connect or administer a Google account through the Reigncane Video Uploader. You may not connect an account you do not own or control, interfere with the application’s authorization, attempt to obtain access credentials, or use the application to access data beyond the intended Creator Program functions.

Use of Google services is also subject to Google’s applicable terms and policies.

14. Reviews, Comments, and Other User Content

The Services may allow you to submit reviews, comments, messages, photographs, videos, recipes, social-media identifiers, or other content, collectively “User Content.”

You retain ownership of your User Content, subject to any license you grant.

Except where a separate agreement applies, by submitting User Content for public display, you grant Reigncane a nonexclusive, worldwide, royalty-free right to host, reproduce, format, adapt, publish, display, distribute, and use that content in connection with operating, marketing, and improving the Services.

The separate Submission & Usage Agreement controls Creator Program video submissions.

You may not submit content that:

• Is false, deceptive, defamatory, threatening, obscene, harassing, discriminatory, or unlawful.
• Infringes intellectual-property, privacy, publicity, contractual, or other rights.
• Contains malware, malicious code, or unauthorized commercial solicitations.
• Contains personal information about another person without authorization.
• Promotes irresponsible consumption or unlawful conduct.
• Misrepresents your identity, experience, or relationship with Reigncane.

We may review, remove, refuse, or restrict User Content, but we are not obligated to monitor all content.

15. Intellectual Property

The Services and their contents—including names, logos, trademarks, product names, designs, photographs, graphics, videos, recipes, written content, software, page layouts, and other materials—are owned by or licensed to Reigncane and are protected by intellectual-property laws.

Subject to these Terms, Reigncane grants you a limited, revocable, nonexclusive, nontransferable license to access and use the Services for lawful personal and noncommercial purposes.

You may not reproduce, distribute, modify, create derivative works from, publicly display, sell, license, scrape, frame, mirror, or commercially exploit any portion of the Services without prior written permission.

“Reigncane,” associated logos, product names, trade dress, slogans, and other brand elements may not be used without authorization.

16. Acceptable Use

You agree not to:

• Use the Services for any unlawful or fraudulent purpose.
• Circumvent age gates, security controls, access restrictions, or purchase limits.
• Submit false identity, age, payment, shipping, or eligibility information.
• Interfere with the operation, integrity, or security of the Services.
• Introduce malware, viruses, harmful code, or automated attacks.
• Access or attempt to access accounts, systems, files, tokens, or data without authorization.
• Scrape, crawl, copy, index, or extract content using automated means except as permitted by law or written authorization.
• Reverse engineer or attempt to discover source code, authentication credentials, or nonpublic functionality.
• Impersonate another person or falsely suggest an affiliation with Reigncane.
• Use the Services to advertise to minors or promote irresponsible alcohol consumption.
• Resell products in violation of law or without required licenses.

We may suspend or terminate access when we reasonably believe these Terms have been violated or when necessary to protect users, Reigncane, service providers, or the public.

17. Third-Party Services and Links

The Services may rely on or link to third-party services, including Shopify, payment processors, licensed retailers, fulfillment providers, delivery carriers, Google, social-media platforms, analytics providers, advertising providers, and customer-support tools.

Third-party services are governed by their own terms and privacy policies. We do not control and are not responsible for their independent acts, availability, security, content, or policies.

A link to or integration with a third party does not necessarily constitute an endorsement.

18. Electronic Communications

By using the Services, placing an order, contacting us, or participating in a program, you consent to receive electronic communications necessary to administer the relationship, including order confirmations, delivery notices, customer-service responses, Creator Program decisions, security messages, and policy notices.

Marketing communications are subject to your preferences and applicable law. You may unsubscribe from marketing emails using the link in the message. Unsubscribing from marketing will not prevent transactional or legally required communications.

19. Privacy

Our collection and use of personal information are described in the Reigncane Vodka Privacy Policy.

By using the Services, you acknowledge that information may be processed by Reigncane and its service providers in the United States and other locations where they operate, subject to applicable law.

20. Disclaimers

To the fullest extent permitted by law, the Services are provided on an “as is” and “as available” basis.

Reigncane disclaims all warranties not expressly stated, including implied warranties of merchantability, fitness for a particular purpose, title, noninfringement, accuracy, availability, and uninterrupted operation.

We do not warrant that:

• The Services will always be available, secure, or error-free.
• Defects will be corrected immediately.
• Product information will always be complete or current.
• Every order, promotion, submission, or reward will be accepted.
• Content submitted through the Services will not be lost, delayed, or corrupted.

Nothing in these Terms excludes warranties or consumer rights that cannot lawfully be excluded.

21. Limitation of Liability

To the fullest extent permitted by law, Reigncane and its owners, officers, employees, affiliates, agents, licensors, retailers, fulfillment partners, and service providers will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages, including loss of profits, revenue, data, goodwill, business opportunity, or anticipated savings.

To the fullest extent permitted by law, Reigncane’s aggregate liability arising out of or relating to the Services or these Terms will not exceed the greater of:

• The amount you paid in connection with the matter giving rise to the claim during the preceding 12 months; or
• One hundred U.S. dollars.

These limitations do not apply to liability that cannot legally be limited, including where applicable liability resulting from fraud, intentional misconduct, gross negligence, or personal injury caused by conduct for which limitation is prohibited by law.

Some jurisdictions do not permit certain warranty exclusions or liability limitations. In those jurisdictions, the provisions apply only to the maximum extent permitted.

22. Indemnification

To the extent permitted by law, you agree to defend, indemnify, and hold harmless Reigncane and its owners, officers, employees, affiliates, agents, licensors, retailers, fulfillment partners, and service providers from claims, liabilities, damages, losses, expenses, and reasonable legal fees arising from or related to:

• Your violation of these Terms.
• Your unlawful or improper use of the Services.
• Your User Content or Creator Program submission.
• Your violation of another person’s intellectual-property, privacy, publicity, contractual, or other rights.
• False information or representations provided by you.
• Your purchase, transportation, possession, resale, or use of alcohol in violation of law.

23. Suspension and Termination

We may suspend, restrict, or terminate your access to all or part of the Services if:

• You violate these Terms.
• We reasonably suspect fraud, abuse, unlawful conduct, or a security risk.
• Continued access could harm Reigncane, another person, or a service provider.
• A legal, regulatory, retailer, payment, or carrier requirement makes suspension necessary.
• We discontinue the relevant Service.

Provisions that by their nature should survive termination will survive, including intellectual-property rights, content licenses, disclaimers, liability limitations, indemnification, and dispute provisions.

24. Governing Law and Venue

These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles, except to the extent another jurisdiction’s mandatory consumer-protection laws apply.

Subject to any rights that cannot legally be waived, any action arising from these Terms or the Services must be brought in the state or federal courts located in Orange County, California. You and Reigncane consent to the personal jurisdiction of those courts.

25. Changes to These Terms

We may update these Terms from time to time. The updated version will be posted with a revised “Last Updated” date.

Changes become effective when posted unless a later effective date is stated. Where required by law, we will provide additional notice or obtain consent.

Your continued use of the Services after the effective date of updated Terms constitutes acceptance of those Terms.

26. Miscellaneous

These Terms and the policies and agreements incorporated into them constitute the entire agreement between you and Reigncane concerning the Services, except for any separate written agreement signed by an authorized representative.

If a provision is held invalid or unenforceable, the remaining provisions will remain in effect.

Our failure to enforce a provision is not a waiver of that provision.

You may not assign your rights or obligations under these Terms without our written consent. We may assign these Terms in connection with a merger, acquisition, financing, reorganization, sale of assets, or transfer of the applicable business.

Headings are for convenience and do not affect interpretation.
